Shop Talk Music City Moments Promotion

1Promotion Period

Playably, Inc. (“Sponsor”) is offering the “Shop Talk Music City Moments” Promotion (“Promotion”) across three entry periods (each, an “Entry Period”):

Entries submitted outside the applicable Entry Period, or after the applicable Entry Period’s entry cap under Section 6 has been reached, are not eligible.

2Promotion Eligibility

Promotion is open only to legal residents of the United States who are 18 years of age or older as of the date of entry. The following persons are not eligible to participate in the Promotion: Sponsor; any of Sponsor’s parents, subsidiaries, affiliates, or advertising and promotion agencies; and any employee, officer, director, representative or agent of any of the foregoing persons and the immediate family members (spouses and siblings, children and parents and their spouses, regardless of where they live) or members of the same households (whether related or not) of such individuals. Void where prohibited or restricted by law. Sponsor may verify eligibility at any time. Sponsor will make any determinations of eligibility. Sponsor’s decision as to eligibility is final.

3To Participate

No purchase is necessary to enter or win. Entry is free.

Eligible individuals may enter by visiting the Playably booth at Shop Talk Nashville, scanning the QR code displayed there, making a pick on that night’s Conditional Event (see Section 4), and completing the entry form with their name, brand, work email, and store URL. Completing the form generates a $0.00 order that records the entrant’s pick; no product is purchased and no payment of any kind is required or accepted. A purchase or payment of any kind will not increase an entrant’s chances of receiving an award.

Limit one (1) entry per person, per Entry Period. An entrant may enter on more than one of the three nightly Entry Periods, but may not submit more than one pick within the same Entry Period. Any attempt by a person to use multiple identities, fraudulent entries, or any kind of bot or automated mechanism to submit more entries than permitted by these terms will result in disqualification in Sponsor’s sole discretion. Entry information becomes the exclusive property of Sponsor upon submission.

4The Nightly Picks (Conditional Events)

Each night’s entrant chooses one of two sides of that night’s Conditional Event:

The official broadcast result (Dancing with the Stars), the official league box score (WNBA), and the official league final result (NHL), respectively, are the sole source of truth for each Conditional Event. If a broadcast, game, or result is postponed, cancelled, rescheduled, or cannot be determined for any reason, Sponsor may in its sole discretion adjust, cancel, or terminate that night’s portion of the Promotion.

5Award Terms

If an entrant’s pick matches the outcome of that night’s Conditional Event under Section 4, and that entry was accepted within the applicable night’s entry cap under Section 6, the entrant is entitled to an award with a maximum value of $100 (“Award”) for that pick.

Election. The entrant elects the form of the Award on Sponsor’s claim page described below, choosing one of:

(a) Cash — $100 paid to the entrant’s Venmo or PayPal account; or

(b) Prize — a $100 digital gift card, delivered by email, selected from the options Sponsor makes available at the time of claim.

Only one election may be made per correct pick. The Award may not be split or stacked between cash and a prize, and a single correct pick may not receive both.

Claiming the Award. Sponsor will send an email to the address associated with the entry containing a link to Sponsor’s claim page at playably.ai/pages/shoptalk-claim to collect the information necessary to process the Award, including the entrant’s election under this Section and, for a cash election, the entrant’s Venmo or PayPal account name. To claim the Award, entrants must complete and submit the claim page within forty-five (45) days of the email delivery date. If an entrant does not make an election within that forty-five (45) day claim window, the Award defaults to the cash election under (a) above, and Sponsor will process it as such.

Entrants are solely responsible for completing all required forms accurately and providing all information and documentation requested by Sponsor, which may include proof of entry, proof of identity, age verification, and/or proof of legal residence. Failure to timely or fully submit the required information or documentation will result in forfeiture of the Award. This forfeiture provision does not apply to a missed election specifically, which is resolved by the cash default above rather than forfeiture.

Taxes. Entrants are solely responsible for any and all taxes arising from or related to the Award, whether received as cash or as a prize, and may be required to complete, electronically sign, and submit an IRS Form W-9 or other tax documentation as required by law. Where required by law, Sponsor will issue an IRS Form 1099 for the value of the Award regardless of whether the entrant elected cash or a prize. Where permitted by law, entrants who receive an Award grant Sponsor the right to use the entrant’s name, city/state, likeness, and prize information for advertising and publicity purposes without additional compensation.

Fulfilment. Sponsor is not responsible for any errors, omissions, or delays in communication or transmission, including but not limited to incorrect or incomplete email addresses, spam filters, network issues, or other delivery problems beyond Sponsor’s reasonable control. A cash Award will be processed within thirty (30) business days following Sponsor’s receipt and verification of all required materials and paid to the entrant’s Venmo or PayPal account. A prize Award will be fulfilled within thirty (30) business days following Sponsor’s receipt and verification of all required materials. No prize transfer. No other prize substitution, except at Sponsor’s sole discretion due to unavailability, in which case a prize of comparable or greater value will be awarded.

Sponsor may disqualify any entrant from receiving an Award in its sole discretion if: (a) they fail to provide any required information or documents within the required time period; (b) they fail to comply with any of these Promotion terms.

6Entry Cap

Each of the Tuesday, Wednesday, and Thursday Entry Periods is limited to the first fifty (50) entries received during that Entry Period. Entries are accepted in the order of their completed order timestamp until fifty (50) entries have been accepted for that night; entries submitted after the cap is reached for that night are not eligible for an Award, regardless of whether the entrant’s pick would otherwise have been correct.

7Winner Notification / Verification

Tuesday, Wednesday, and Thursday nightly picks. Every entrant with a correct pick, accepted within that night’s entry cap, is a winner. Winners will be notified by email to the address provided at entry, will be told they won, and will be asked to choose their prize. Sponsor will also send the claim page link described in Section 5 to that same email.

General. Proof of identity, age, and legal residence may be required to claim an Award. Any winner or potential winner may be disqualified in Sponsor’s sole discretion if: (a) they fail to provide any required information or properly completed documents within the required time period; (b) they fail to comply with any of the terms of these Official Rules; or (c) any Award notification is returned as undeliverable, or any email message or forms sent to a potential winner are not timely returned as instructed. No responsibility is assumed by Sponsor for any incorrect or missing postal address or email address associated with an entry, or any change of address or email of entrants after entry submission. Sponsor will hold all winning entries for at least sixty (60) days following the completion of the Promotion. Where permitted by law, winner grants Sponsor the right to use winner’s name, city/state, likeness, and prize information for advertising and publicity purposes without additional compensation. For a copy of the Official Rules or Winners List, send a self-addressed, stamped envelope and a hand-written request identifying “Shop Talk Music City Moments” and the entry period(s) of interest to: Playably Shop Talk Music City Moments Promotion, Free to Enter c/o Playably, Inc., 3242 Lincoln Ave, Honolulu, HI 96816.

8Warranties and Representations

By participating, eligible entrants warrant and represent that they agree to be bound by these Promotion terms and the final decisions of the Sponsor. Eligible entrants further grant Sponsor and its affiliates and sublicensees the right to use the name, city/state, likeness, and prize information for advertising and publicity purposes without additional compensation.

9General Conditions

Sponsor, Shop Talk, Facebook, Instagram, TikTok, YouTube, Dancing with the Stars, ABC, the WNBA, the Nashville Predators, the National Hockey League, the Minnesota Wild, their parents, subsidiaries, affiliates, advertising and promotion agencies, or any wholesalers, retailers, importers, or distributors together with the employees, officers, directors, and agents of each (aforementioned individuals and organizations collectively, the “Releasees”) are not responsible and shall not be liable for: [a] failures or malfunctions of phones (including wireless phones/handsets), phone lines or telephone systems or other communications malfunctions; cellular equipment towers, telephone systems or wireless services; [b] interrupted or unavailable network, server or other connections including those through and/or by the Promotion Page; [c] electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of entries; [d] failed, garbled, lost, misrouted or scrambled transmissions; [e] any error, omission, interruption, defect or delay in any transmission or communication or other errors or problems of any kind whether mechanical, human, technical, electronic, cellular telephone related or otherwise; [f] traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant’s or any other person’s computer or wireless phone/handset related to or resulting from participation in this Promotion; [g] late, lost, incomplete, damaged, or misdirected entries, email messages, text messages, or postage-due mail; [h] any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted; or [i] printing errors in Promotion / advertising materials. By entering and participating, entrants agree to: [a] abide by these Promotion terms and by the decisions of Sponsor, whose decisions are final and binding on all matters pertaining to this Promotion; [b] the use of their names, photographs, testimonials or other likeness and/or personal exposition (and/or any edited portion thereof) by Sponsor and its designee(s) for promotional, advertising and/or publicity purposes in any media, now or hereafter known throughout the universe in perpetuity, including but not limited to the posting of their names on the Promotion Page, without compensation or notice to, or further consent of, the entrant to the extent permitted by law; and [c] to release, discharge and hold harmless the Releasees from any and all injuries, liability, losses and damages of any kind resulting from their participation in the Promotion or their acceptance of the Award. Failure to comply with the Promotion terms may result in disqualification at Sponsor’s sole discretion. All federal, state and local laws and regulations apply. CAUTION: ANY ATTEMPT BY AN ELIGIBLE ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ITS DESIGNEES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW. Entry must be made by the entrant only through the authorized Promotion Page at playably.ai/pages/shoptalk and/or through the methods listed above. Entry into the Promotion may not be made by any other individual or any entity, and/or originate at any unauthorized Internet web site or email address and/or entering service sites. Any eligible entrant who entered by any of the prohibited methods described above will be disqualified. In the event of a dispute regarding the identity of an eligible entrant, the entry will be deemed to be submitted by the “authorized account holder” associated with the email account recorded in connection with the entry. Entrant may be required to provide evidence (to the Sponsor’s satisfaction) that they are the authorized account holder of the email address associated with the entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. In the event a dispute cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or any associated website; to be acting in violation of the Promotion terms; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. If, for any reason, the Promotion cannot operate as planned due to factors such as computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, strikes, market conditions, bankruptcy or liquidation, changes in law, or any other cause that, in Sponsor’s sole opinion, affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole and absolute discretion, to cancel, terminate, modify, or suspend all or part of the Promotion. In such an event, Sponsor may (i) select the winner(s) from among all eligible, non-suspect entries received prior to the action taken, or (ii) proceed in any manner deemed fair and equitable in Sponsor’s sole discretion.

IN NO EVENT WILL SPONSOR, SHOP TALK, FACEBOOK, INSTAGRAM, TIKTOK, YOUTUBE, DANCING WITH THE STARS, ABC, THE WNBA, THE NASHVILLE PREDATORS, THE NATIONAL HOCKEY LEAGUE, THE MINNESOTA WILD, THEIR LICENSEES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE PROMOTION PAGE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE PROMOTION PAGE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE PROMOTION PAGE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10Governing Law

Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any Award shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Promotion terms, entrant’s rights and obligations, or the rights and obligations of Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California. Under no circumstances will entrant be permitted to obtain awards for, and waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, and entrant further waives all rights to have damages multiplied or increased.

11Privacy

Information submitted in connection with the Promotion will be treated in accordance with these Promotion terms and the Sponsor’s Privacy Policy located at https://playably.ai/policies/privacy-policy

12Severability / Headings

If any provision of these Promotion terms is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Promotion terms and shall not affect the validity and enforceability of any remaining provisions. Headings and captions are used in these Promotion terms solely for convenience of reference and shall not be deemed to affect in any manner the meaning or intent of these Promotion terms or any provision hereof.
