Merchant Terms

Version 1.1 · 7 October 2026

These Merchant Terms are the order form for campaigns you set up in the Playably app. They apply when a business accepts them in the app for a Shopify store, and they go with the Platform Policies and the Playably Terms of Service. Playably, Inc., 57 Summerstone, Irvine, CA 92614 ("Playably") is the other party.

1. Acceptance

By ticking the box and typing your full name, you accept these Merchant Terms, the Platform Policies and the Playably Terms of Service (playably.ai/policies/terms-of-service) on behalf of the business that owns the Shopify store. Playably records your name, the account that accepted, the time and the version of the terms. We may ask you to accept again when the terms change. If these Merchant Terms and the Terms of Service differ on funding, deposit, fees, payouts or indemnification for rebates Playably pays (section 8), these Merchant Terms apply to campaigns you set up in the app. On everything else, including liability, indemnification, termination, governing law and dispute resolution, the Terms of Service apply.

2. One store, one account

Each Shopify store has its own Playably account. Playably does not link several stores under one login.

3. Campaigns

You choose an offer from Playably's offer menu. A store can run one live campaign at a time. Each offer sets the triggering event and how the result is decided; you do not write your own event.

Playably is the Sponsor and administrator of every promotion. Playably prepares its Official Rules from the product, pricing and brand information you supply and approve. You may not change the Official Rules, Playably's templates, calculations or disclosures. Playably does not become the seller of your products; you remain responsible for your products, product claims, pricing, fulfilment, returns and customer service.

4. Advertising

You must stop advertising a promotion promptly when its entry cap or purchase allocation is reached. Do not use "bet", "wager", "gambling", "odds" or similar words about a promotion. Wherever you advertise how to enter by purchase, clearly show that no purchase is necessary and how to enter without one. Anyone you ask to promote it, such as an influencer or affiliate, may only make claims you and Playably have approved, with the disclosures the law requires. You are responsible for your own email, text and social marketing, including consent and opt-outs, and you may not say that Playably sent it.

5. Launch checks

Before a campaign goes live, Playably decides whether a state requires registration, bonding or a trust account for the promotion, including New York and Florida. Where it does, Playably files and secures it, and you bear the filing fees and bond costs. Send complete campaign information and funding at least 14 days before your launch date. New York needs at least 30 days' lead time and Florida at least 7. Playably may delay or refuse a launch if these are not met or if it sees legal, fraud, operational or funding risk.

6. Our fee

You pay Playably a fee that is a percentage of the item subtotal, after discounts and excluding taxes, shipping and fees, of the Eligible Transactions: orders placed with the promotion code by shoppers who joined during the campaign period. An order that is cancelled, refunded or returned before the result is decided is not an Eligible Transaction. The percentage is shown in the app before you go live. We send a statement for each campaign; it is final unless you dispute it in writing within 15 days. Undisputed amounts are due within 15 days.

Mail-in entries (section 14) have no order, so they carry no fee.

7. If the event does not happen

No rebates are paid. You still pay the fee on the campaign's Eligible Transactions. The fee is not refunded.

8. If the event happens

Playably pays valid, timely and verified rebates to shoppers under the Official Rules, from its own funds. For campaigns you set up in the app, Playably, not you, bears the cost of those rebates. You pay only the fee (section 6), and the deposit is credited against it (section 10). This applies despite the funding and indemnification provisions of the Terms of Service: you are not required to provide Prize/Rebate Funding for rebates Playably pays under this section, and you do not indemnify Playably for them. Rebates exclude taxes and shipping. You remain responsible for your own products, advertising and obligations under section 4.

9. How the event is decided

Each offer names the official source for its result. Playably decides the result from that source as it stands 48 hours after the event ends and settles on that result. If the source is unavailable, Playably may use a commercially reasonable substitute. A correction published after that time does not change the result.

10. Deposit

Before a campaign starts, you pay a deposit of 5% of the campaign's payout cap, with a minimum of $750, invoiced outside Shopify. The campaign starts once Playably receives it. The deposit is credited against the fee you owe. Any part of the deposit not used is returned after the campaign settles. If the event does not happen, the deposit is still applied to the fee owed. Funding is a condition of launch only. After launch, a lack of funding never reduces or defeats a shopper's valid claim.

11. Entry cap and payout cap

Playably sets a total entry cap for each campaign from the store's order history and states it in the Official Rules, together with a reserve for mail-in entries and the rest for purchase entries. The caps do not change after launch; changing them needs a new campaign. When purchase entries reach their allocation, Playably stops accepting them, expires the promotion code, switches off the popup, top bar and cart reminder, and you must stop advertising them. Mail-in entries received by their deadline stay eligible up to their reserve. When payouts pass the payout cap by 10%, Playably holds settlement for review. A review hold never reduces or defeats a valid claim, and it never delays one past the payment time in the Official Rules; Playably pays the shopper and settles the difference with you afterwards.

12. Pause

You may pause a campaign where its offer allows it. A paused campaign takes no new code enrolments: orders placed while paused do not count, even with the code. Orders placed before the pause stay covered. A pause does not shorten the promotion period, and the mail-in entry method stays open until the end of it. If the campaign's window closes while paused, it ends automatically, and Playably records and settles the result.

13. The promotion code

The promotion code only records that a shopper joined the promotion. It gives no discount. The rebate is the only benefit of the promotion, and any other discount you offer on a qualifying purchase is unaffected.

14. Mail-in entries

Every promotion has a mail-in entry method that needs no purchase. Playably receives, checks and pays mail-in entries under the Official Rules. They count toward the total entry cap through the mail-in reserve. A valid mail-in entry is paid a flat $100 if the event happens, whatever the size of any purchase rebate.

15. Shopper data

Playably is the Sponsor and collects Entrant Data to run the promotion, verify eligibility and pay rebates, as described in the Official Rules and the Platform Policies. You agree not to use the promotion to collect data Playably has not described. You must give shoppers the notices and honour the consents your own marketing needs.

16. Refunds and cancellations

An order that is cancelled or refunded is withdrawn from the promotion and is not eligible for a rebate before payment. If it is cancelled or refunded after payment, Playably may recover or offset the rebate as the Official Rules say. A return after the event does not create a second benefit.

17. Records

Keep records of your transactions, eligibility, consumer notices, refunds and chargebacks for at least four years after the promotion ends. Playably may review them on reasonable notice.
